Agreement
These Terms of Service are a legally binding agreement between you and SQNTL Pvt. Ltd. ("Fluo", "we", "us", or "our") for your access to and use of Fluo websites, products, APIs, hosted agents, knowledge-base features, integrations, and related services.
By using Fluo, you confirm that you can enter into this agreement and that you will comply with these terms. If you use Fluo for an organization, you represent that you have authority to bind that organization.
Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate account information and keep it current.
Fluo is intended for users who are at least 13 years old. If you are a minor where you live, you may use Fluo only with permission and supervision from a parent or guardian.
Acceptable Use
You may use Fluo only in compliance with applicable laws, these terms, and any product-specific documentation. You may not misuse the platform, interfere with its security or availability, reverse engineer the service except where legally permitted, or use Fluo to harm others.
You are responsible for prompts, files, knowledge-base content, instructions, outputs, integrations, and other materials you submit to or generate through Fluo. You must have the rights and permissions needed to provide that content and to use it with connected services.
AI Features
Fluo uses AI models and related infrastructure to power assistants, knowledge retrieval, evaluation, and workflow automation. Outputs may be inaccurate, incomplete, or unsuitable for your use case. You are responsible for reviewing outputs before relying on them.
You may not use Fluo for high-risk decisions or regulated workloads unless you have separately confirmed that the service, your configuration, and all connected providers meet the applicable requirements.
Paid Accounts, Fees, And Refunds
If you purchase Fluo services, you must provide complete and accurate billing information, including a valid payment method. For paid subscriptions, you authorize us or our payment processor to charge your payment method on each agreed renewal date until you cancel.
You are responsible for all applicable taxes, and we may charge tax where required. If payment cannot be completed, we may downgrade, suspend, or limit your account until payment is received.
Some services may be purchased in advance through prepaid credits, account balances, or other service credits. Credits are not cash, have no cash value, are non-transferable, and are non-refundable except where required by law or expressly stated at purchase. Promotional credits are also not redeemable for cash.
You may cancel a paid subscription at any time to prevent future renewal charges. Payments are non-refundable except where required by law, and these terms do not override mandatory local cancellation or refund rights.
Because AI requests create immediate compute, model, retrieval, and infrastructure costs, we cannot refund completed AI usage, generated outputs, knowledge-base indexing, evaluations, or agent runs once they have been processed. If we confirm that a billing error was caused by Fluo, we may issue a credit or other remedy at our discretion.
We may change prices from time to time. If we increase subscription prices, we will give at least 30 days' notice before the increase takes effect on your next renewal, so you can cancel if you do not agree. Usage-based prices, taxes, third-party pass-through costs, and add-ons may change as described in the product, checkout flow, or applicable order form.
Ownership
We own Fluo, including our software, interfaces, designs, trademarks, and documentation. Subject to these terms, we grant you a limited, non-exclusive, non-transferable right to use Fluo for your internal business or personal purposes.
As between you and Fluo, you retain ownership of the content you submit to the service. You grant us the rights needed to host, process, transmit, display, and otherwise use that content to provide, secure, support, and improve Fluo.
Third-Party Services
Fluo can connect to third-party services such as model providers, analytics providers, infrastructure providers, payment processors, and integrations you enable. Your use of those services may be governed by their own terms and privacy notices.
We are not responsible for third-party services that we do not control, but we work to choose providers appropriate for operating Fluo.
Privacy
Our Privacy Policy explains how we collect, use, and share information, including how Fluo uses AI model providers and analytics services. By using Fluo, you also agree to the Privacy Policy.
Changes, Availability, And Discontinuation
We may modify, suspend, or discontinue parts of Fluo as the product evolves. We try to keep Fluo reliable, but we do not guarantee that the service will be uninterrupted, error-free, or available at all times.
If we discontinue a paid service in full, we will give advance notice where practical and provide a refund or credit for prepaid, unused services, except where discontinuation is caused by your breach, misuse, legal risk, or another reason for which refunds are not required by law.
Disclaimers And Liability
Fluo is provided "as is" and "as available" to the fullest extent permitted by law. We, our affiliates, and our licensors disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, satisfactory quality, non-infringement, quiet enjoyment, and warranties arising from course of dealing or trade usage.
We do not warrant that Fluo will be uninterrupted, accurate, secure, error-free, or that content will not be lost, altered, delayed, or unavailable.
You accept that outputs from AI systems may be inaccurate, incomplete, or unsuitable for your use case. You must not rely on outputs as your sole source of truth, factual information, or professional advice.
To the fullest extent permitted by law, Fluo will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, use, data, goodwill, or business opportunities, even if we have been advised that such damages are possible.
Our total liability under these terms will not exceed the greater of the amount you paid for the service that gave rise to the claim during the 12 months before the liability arose or one hundred U.S. dollars ($100). These limitations apply only to the maximum extent permitted by applicable law. Some jurisdictions do not allow certain warranty disclaimers or liability limits, so parts of this section may not apply to you.
Termination, Suspension, And Appeals
You may stop using Fluo at any time. We may suspend or terminate your access, downgrade your account, remove content, or delete your account if we determine that you breached these terms, failed to pay amounts owed, created legal or security risk, used Fluo in a way that could harm Fluo or others, or if we must do so to comply with law.
We may also close inactive free accounts after more than one year of inactivity. If we do, we will try to provide advance notice where practical.
If you believe your account was suspended or terminated in error, you can appeal by contacting legal@fluo.onewith your account email, workspace, and a short explanation.
Indemnity
If you use Fluo on behalf of a business or organization, to the extent permitted by law, you will indemnify and hold harmless Fluo, our affiliates, and our personnel from third-party claims, losses, liabilities, damages, expenses, and reasonable attorneys' fees arising from your use of Fluo, your content, your integrations, your outputs, or your violation of these terms or applicable law.
Governing Law
These terms are governed by the laws of India. Courts located in Pune, India will have jurisdiction over disputes, unless applicable law requires otherwise.
